Recently, the Vietnam team at Shanghai Landing Law Offices successfully secured and executed a legal service mandate for a century-old German enterprise regarding its strategic investment and operational footprint in Vietnam. The team assisted the client in structuring an investment compliance framework and successfully issued comprehensive legal opinions, marking another solid achievement for Landing in delivering cross-border investment and corporate compliance legal services to international clients.

This project focused on the German enterprise's investment setup in Vietnam, covering a broad spectrum of critical legal matters, including:

• Regulatory Analysis: Interpretation of foreign investment access policies and sectoral regulatory requirements
• Structural Design: Equity structure design and compliance path validation
• Corporate Governance: Entity incorporation and internal governance framework construction
• Document Optimization: Review and refinement of core transaction documents and internal compliance policies

As a prominent representative of European manufacturing, the German client maintains rigorous standards regarding compliance frameworks, risk control, and execution timelines in its global investment strategies.

As Vietnam emerges as a key destination in global supply chain realignments, cross-border investment projects frequently involve multi-dimensional legal issues spanning foreign investment, tax compliance, labor and employment, land use, and supply chain contracts. The focus of this project was to deliver actionable compliance solutions at the client’s critical decision-making nodes—coordinating investment structures, regulatory approvals and filings, and post-incorporation operational compliance to ensure the plan remained both commercially sound and fully executable.

Serving as special legal counsel for the project, the Landing Vietnam team provided end-to-end legal services, including:
